This opportunity is available for investment

The Partnership is a Delaware limited partnership formed on October 9, 2025 for the purpose of drilling horizontal wells as discussed below.
The Partnership's investment objective is to invest its subscription proceeds to drill, complete, and operate oil and natural gas Development Wells which will provide monthly cash distributions to its Participants during the Initial Distribution Period and then quarterly thereafter, in the Managing General Partner's sole discretion, until the wells are Depleted.
After deducting Organization and Offering Costs, the Managing General Partner anticipates that the remaining subscription proceeds of the Partnership will be used to drill horizontal Development Wells in western Pennsylvania and in areas outside western Pennsylvania. It is anticipated that most, if not all, of the wells will be drilled on a Joint Venture basis with the Related Party Operator, and/or a Third-Party Operator. This allows the Partnership to participate in more wells which the Managing General Partner believes will result in diversifying risk compared to the Partnership owning 100% of fewer wells.

An allocation of tax deductions from the Partnership in the year that you invest from Intangible Drilling Costs to offset a portion of your taxable income from sources other than the Partnership, subject to the passive activity limitations on losses if you invest as a Limited Partner.
For example, the Managing General Partner anticipates that you may claim a deduction in 2026 in an amount equal to approximately 70% of your cash subscription, which is $35,000 per Unit if you pay $50,000 for a Unit and includes your deduction for Intangible Drilling Costs for all of the wells to be drilled by the Partnership including any wells to be drilled in 2027.
An offset of a portion of any gross production income generated by the Partnership from the sale of natural gas and oil with tax deductions from the 15% percentage depletion allowance (or cost depletion, whichever is greater).
As set forth in "Prior Activities," MDS Energy Development and its Affiliates have previously Sponsored and served as general partner of 23 drilling partnerships which have conducted drilling activities primarily in western Pennsylvania.
Also, Related Parties of MDS Energy Development, by themselves or on a Joint Venture basis, have drilled over 2,700 wells and operate several pipelines in western Pennsylvania.
The Managing General Partner believes that technological advancements in Horizontal Drilling and Hydraulic Fracturing in shale formations have resulted in a significant increase in the production of natural gas and oil in the United States over the past 20 years.
This allows the Partnership to participate in more wells which the Managing General Partner believes will result in diversifying risk compared to the Partnership owning 100% of fewer wells.
The Managing General Partner currently employs approximately 30 people with expertise in land acquisitions, engineering, drilling and completion operations, well supervision and production operations, oil and gas accounting, investor services, and business management.
As an incentive to invest early in the Partnership, Units may be sold: on or before July 31, 2026 at a price of $46,250 per Unit, which is a 7.5% discount of $3,750 per Unit; and after July 31, 2026, but on or before October 31, 2026, at a price of $47,500 per Unit, which is a 5.0% discount of $2,500 per Unit.
